This Service Provider Marketplace Agreement (“Agreement”) is between APDV PORTAL L.L.C, operator of GoRush (“GoRush”, “Platform”, “we”, “us”), and the legal person or individual business registering as a service provider (“Provider”, “you”).

1. Purpose and Relationship

GoRush operates a digital marketplace through which Providers may publish services and availability, receive bookings and use booking-calendar and payment-facilitation functionality. The Provider appoints GoRush on a non-exclusive basis as a marketplace intermediary and booking/payment facilitator for services listed by the Provider.

The Provider remains an independent contractor and the supplier/operator of its services. Nothing in this Agreement creates employment, partnership, joint venture or an exclusive relationship. No provision is intended to register or constitute GoRush as the Provider’s commercial agent under any mandatory commercial-agency regime.

2. Provider Onboarding and Verification

3. Listings, Prices and Availability

The Provider is responsible for the accuracy of each listing, including description, location, duration, inclusions/exclusions, price, taxes, age/health/licence restrictions, capacity, equipment, safety requirements, cancellation rules and available dates/times.

The Provider must keep its GoRush calendar and inventory accurate and must not knowingly accept conflicting bookings. Once a booking is confirmed, the Provider must honour the confirmed price, scope and time unless the customer agrees to a change or a change is reasonably necessary for safety or legal compliance.

4. Booking and Payment Models

A listing may use full online payment or partial/deposit payment, with any balance payable to the Provider as clearly shown to the customer before booking. GoRush or its designated payment processor, including Mamo where applicable, may collect online amounts on behalf of the transaction flow.

The Provider authorises GoRush and the payment processor to receive, hold where permitted, reconcile, refund, reverse, deduct and settle transaction amounts in accordance with this Agreement, the accepted commercial terms and the payment processor’s applicable rules. GoRush does not provide regulated payment services itself where those services are performed by an authorised third-party payment provider.

5. Commission, Fees and Settlement

The commission rate and any platform fees applicable to the Provider will be displayed in the Provider onboarding flow, Provider Dashboard, commercial offer or other electronic schedule presented before acceptance (“Commercial Terms”). By accepting this Agreement, the Provider also accepts the Commercial Terms then displayed to its account.

Unless otherwise stated in the Commercial Terms, commission is calculated on the gross booking value charged for the Provider’s service through GoRush, excluding amounts that GoRush expressly identifies as excluded. GoRush may deduct commission, refunds, chargebacks, payment-processing adjustments and other agreed amounts before settlement.

Settlement timing, minimum payout thresholds (if any), processor deductions and settlement method will be shown in the Commercial Terms or Provider Dashboard. Settlement may be delayed where reasonably necessary to investigate fraud, chargebacks, customer disputes, legal restrictions or inaccurate bank/KYC information.

The Provider is responsible for its own taxes, invoicing and tax-registration obligations. Where VAT applies, prices and invoices must comply with UAE tax and consumer requirements.

7. Cancellations, Refunds and Customer Remedies

The Provider must select or state a cancellation policy that is clearly disclosed before booking and complies with applicable law. Where no specific lawful policy is displayed, the GoRush default customer cancellation rule is a full refund of the prepaid amount for cancellation at least 24 hours before the scheduled service time.

If the Provider cancels, fails to provide the service, materially under-delivers the confirmed service, or breaches a mandatory consumer obligation, GoRush may issue or facilitate a full or proportionate refund, rebooking or other lawful remedy and deduct the corresponding amount from current or future settlements.

The Provider must reasonably cooperate with evidence requests relating to disputes, complaints, refunds and chargebacks. Chargeback losses attributable to the Provider’s non-performance, inaccurate listing, unauthorised transaction conduct or failure to provide reasonable evidence may be charged to the Provider to the extent permitted by law.

8. Customer Data and Confidentiality

Customer personal data received through GoRush may be used only to fulfil bookings, provide necessary safety/service communications, comply with law and resolve legitimate disputes. The Provider must not sell customer data, use it for unrelated marketing without a lawful basis, or retain it longer than necessary.

Each party must protect confidential business, customer, security and technical information and disclose it only where necessary for performance or required by law.

9. Intellectual Property and Marketing Licence

The Provider retains ownership of its pre-existing trademarks, photographs, descriptions and other content. The Provider grants GoRush a non-exclusive, worldwide, royalty-free licence during the relationship to host, reproduce, adapt for formatting, display and promote Provider content for operating and marketing GoRush and the Provider’s listed services.

The Provider warrants that it has the rights required to supply all content and that the content does not infringe third-party rights.

10. Platform Operation

GoRush will use commercially reasonable efforts to operate the marketplace, booking calendar, account and support functionality, but does not guarantee uninterrupted availability. Maintenance, security events, third-party outages or force-majeure events may temporarily affect the platform.

11. Compliance, Audit and Suspension

GoRush may request evidence of licensing, insurance, fulfilment, customer communications and other information reasonably necessary to verify compliance. GoRush may suspend a listing or Provider account immediately where reasonably necessary for customer safety, suspected fraud, expired licences/insurance, serious complaints, legal requirements or material breach.

12. Indemnity and Allocation of Responsibility

To the extent permitted by law, the Provider is responsible for claims, losses, fines, refunds and reasonable costs arising from the Provider’s service performance, personnel, equipment, listing inaccuracies, licence/permit failures, safety failures, infringement of third-party rights or breach of this Agreement. This does not apply to the extent the matter was caused by GoRush’s own breach, negligence or unlawful conduct.

Neither party excludes liability that cannot lawfully be excluded. Any limitation of liability must be interpreted consistently with mandatory UAE law and consumer rights.

13. Term and Termination

This Agreement starts when electronically accepted and continues until terminated. Either party may terminate on 30 days’ written or electronic notice. GoRush may suspend or terminate immediately for material breach, fraud, serious safety risk, unlawful activity, repeated customer harm, expired licensing/insurance or where required by a competent authority.

Termination does not affect confirmed bookings, accrued payment/refund obligations, confidentiality, data-protection duties, dispute rights or provisions intended to survive.

14. Electronic Acceptance and Records

The parties agree to contract electronically. Offer and acceptance may be expressed through electronic actions, including clicking “Confirm” or “I Agree”. Electronic records of acceptance and subsequent amendments may be stored and relied upon as evidence to the extent permitted by UAE law.

For evidential integrity, GoRush retains the Agreement version/hash, acceptance timestamp, Provider legal name and licence number, accepting user/account ID, IP/device or session evidence where lawful, and a retrievable copy of the accepted terms.

15. Amendments

GoRush may amend this Agreement for legal, security, operational or product reasons. Material amendments will be presented or notified electronically. Where an amendment materially changes commercial or legal obligations, GoRush may require renewed click acceptance before continued Provider use.

16. Governing Law and Jurisdiction

This Agreement is governed by the applicable federal laws of the United Arab Emirates and the laws and regulations applicable in the Emirate of Dubai. The competent courts of Dubai, UAE shall have jurisdiction, unless mandatory law requires otherwise.

17. Notices and Contact

Notices to GoRush may be sent to director@istlift.ru. Notices to the Provider may be sent through the Provider Dashboard or to the email/mobile contact registered in the Provider account. The Provider must keep those details current.

18. Entire Agreement and Order of Precedence

This Agreement, the Commercial Terms accepted by the Provider, applicable listing rules, privacy/data requirements and any specifically incorporated platform policies form the agreement between the parties concerning use of GoRush. If there is a conflict, specifically agreed Commercial Terms prevail on commission/settlement matters, while mandatory law prevails in all cases.

Commission and settlement

Your commission rate, fees and settlement terms (the Commercial Terms) are shown in your provider account. You accept them together with this agreement when your account is activated, and again if they change.
